1. Background
Light Harmonic, Inc. is an audio technology company founded over a decade ago, focused on high-end digital audio products.
In 2015, LH Labs was established as a separate entity by a group of founders, with Light Harmonic participating as a technology partner and minority shareholder. Light Harmonic held less than 20% of LH Labs’ equity. LH Labs operated independently and was not a wholly owned subsidiary of Light Harmonic.
LH Labs was created to develop and deliver a series of crowdfunded audio hardware products during an earlier phase of the industry.

2. Project Outcomes
The majority of LH Labs crowdfunding backers — estimated at over 95% — successfully received the products or benefits associated with their contributions.
A limited number of projects encountered execution challenges, and certain products were not delivered as originally planned.

3. Exchange Program and Resolution Efforts
To address outstanding cases, an exchange program was implemented from 2019 through 2023.
Under this program:
- Participants were offered Light Harmonic products of comparable or greater value in exchange for their original pledges
- More than 150 participants voluntarily took part in the program
- In many cases, participants received products without additional cost beyond their original crowdfunding commitment
As a result of both the original fulfillment and the exchange program, the number of individuals who did not receive products has been reduced to a minimal level.

4. Current Status of LH Labs
LH Labs formally ceased operations in 2019 and is no longer an active entity.
Following its closure, members of the original founding team went on to pursue separate and unrelated ventures, including new companies in different industries.

5. Ongoing Good-Faith Assistance
Although LH Labs is no longer operational, Light Harmonic has voluntarily assisted in addressing remaining historical cases on a good-faith basis.
These efforts have included facilitating communication and supporting the previously established exchange framework where feasible.
Such actions are undertaken voluntarily and do not represent ongoing commercial obligations of an active operating entity.

6. Entity Distinction
LH Labs, Light Harmonic, and any subsequent ventures established by former team members are distinct entities, formed at different times and for different purposes.
In particular:
- LH Labs operated between 2015 and 2019 and is no longer active
- Light Harmonic acted as a technology partner and minority shareholder, holding less than 20% of LH Labs’ equity
- Subsequent ventures, including those in other sectors, are not affiliated with LH Labs projects, operations, or liabilities
- No funds related to LH Labs crowdfunding activities have been transferred to or used by any subsequent ventures. Individuals involved in these entities have participated in multiple independent projects over time, which should not be interpreted as a single continuous operation.

7. Perspective
The LH Labs crowdfunding projects represent an early-stage effort during a different period of technological and operational maturity.
While the vast majority of participants received their products or equivalent value, the company acknowledges that not all expectations were met and has made reasonable efforts to address remaining cases where possible.
